I am directed by the Board of Trade to refer to previous correspondence relating to the draft HongKong Ordinance, and to say that the draft has now been care- fully examined in the Companies Department and I am to offer the following observations for the consideration

of the Secretary of State:-

Clause 4(1)(ii); clause 5(1)(ii); clause 6(1)(ii).

The word "proposed in the margin seems to be super- fluous and without meaning, and I am to suggest that the

word should not be inserted.

Clause 27(1). The Imperial Act provides that the

Shak annual list of members should be made up to the four-

teenth day after the ordinary general meeting, and the same requirement is made in, so far as the Board of Trade

are aware, all the Colonial Companies Acts. The Ordin- ance suggests that the annual list of shareholders should

be made up to the day of the ordinary general meeting.

This, in practice, might be found very difficult and

inconvenient, and, if there is no special reason to the

contrary, the Board of Trade are of opinion that it is

desirable to avoid small differences of this character
